SBAA By-Laws

ARTICLE I Rights and Duties of Officers Section 1. The President has the rights and duties: a. To preside at all meetings, to enforce the observance of the Constitution, By-laws, Handbook and Rules of Order. b. To present all petitions for approval submitted by the Membership, the Board of Directors, a Chair of a Committee or am member of a Committee through its chair. c. To establish or change any practices, excluding those guaranteed by the Constitution, the By-laws and other official policy voted upon by the Membership or the Board of Directors. This is subject to the right of appeal by other members of the Board of Directors or of a Committee. d. To attend any Committee meeting. e. To keep in a permanent file, copies of all official proposals voted upon by the Board of Directors. f. To request written reports from Committee chairs at any time with at least one(1) week’s notice. g. To excuse any member from attendance at a Board of Directors meeting. h. To acquaint himself/herself with rules and regulations concerning “Roberts Rules of Order”. i. To serve as a liaison with Parish Council and with the Consolidated School Board. Section 2. The Vice-president has the rights and duties: a. To preside at the meetings in the absence of the President b. To assume all rights and duties of the President when the President absent and is delegated either by the President or, if not delegated by the President when he/she is absent, receives delegation by a simple majority vote of the Board of Directors. c. To make a sincere effort to become familiar with the duties of the President. Section 3. The Secretary has the rights and duties: a. To record those motions which were voted upon by the Membership or the Board of Directors. b. To record all proceedings and minutes of the Membership and Board of Director meetings in a reasonable detail. c. To post notice of date, day, time and place of meetings. d. To be in charge of all general correspondence including notices, letters and announcements. e. To keep an up-to-date files of names, addressees and phone numbers of all members. Section 4. The Treasurer has the rights and duties: a. To keep account of receipts, bills paid and money on hand. b. To give monthly and annual reports on financial conditions of the organization at all Membership and Board of Director Meetings. c. To prepare, subject to the approval of the Board, and annual operating budget, and to monitor adherence to it. d. To have the books ready for audit at year end by a Committee appointed by the Board of Directors. Section 5. The two(2) Athletic Directors (Boys and Girls) shall have the rights and duties: a. To supervise and direct all phases of their respective programs b. To submit an outlined program and budget to the Board of Directors at times specified by the Board. c. To submit periodic reports to the Board of Directors at times specified by the Board. d. To authorize expenditures or collect any money only if authorized by the Board of Directors. e. To develop policies for the sports programs, subject to review and control by the Board of Directors. f. To be responsible for the condition of the fields and courts. g. To be responsible for all athletic equipment and uniforms. h. To recruit and appoint coaches and Commissioners, subject to the approval of the Board of Directors. Section 6. The Athletic Advisor shall have the rights and duties: a. To supervise sports registration b. To supervise selection and award of the Christian Athlete Award. c. To act as a resource to the Board of Directors and to the Membership. Section 7. The Gate/Concessions Chairperson shall have the rights and duties: a. To supervise and direct all activities related to the collection of Gate for SBAA athletic events held on the St. Bartholomew Parish property. b. To supervise and direct all activities related to the sale and distribution of Concessions for SBAA athletic events held on the St. Bartholomew Parish property. c. To submit an outlined program and budget to the Board of Directors at times specified by the Board. d. To develop policies for Gate and Concessions, subject to review and control by the Board of Directors. e. To be responsible for the equipment utilized in the execution of Gate and Concessions. f. To recruit and appoint Commissioners, subject to the approval of the Board of Directors. Section 8. The Fundraising Chairperson shall have the rights and duties: a. To supervise and direct all activities related to specific fundraising activities, events and/or programs for the SBAA. b. To submit an outlined program and budget to the Board of Directors at times specified by the Board. c. To develop policies for Fundraising, subject to review and control by the Board of Directors. d. To be responsible for the equipment utilized in the execution of Fundraising. e. To recruit and appoint Commissioners, subject to the approval of the Board of Directors. Section 9. All members of the Board of Directors shall have the right to vote on all policies of the Board. Section 10. Individuals serving the Association in any capacity whatsoever shall receive no remuneration for their efforts. ARTICLE II Appeals Section 1. All members of the organization have the right of appeal to the President. Upon refusal of the President to recognize the appeal, the individual must present a letter in duplicate to the President ten(10) days prior to the next scheduled Board of Directors meeting stating his/her appeal. The President must then sign both copies and submit the original to the Board of Directors. The individual retains the signed duplicate copy. If the appeal is rejected by a vote of the Board, the individual may appeal to the General Membership at a regularly scheduled meeting, providing that the appeal is again presented in the manner mentioned above to the President at least ten(10) days prior to the date of the General Membership meeting. Such an appeal must have the support of two-thirds of the General Membership. ARTICLE III Meetings Section 1. Membership meetings shall be held no less that four(4) times per year at such time and place as the Board, in its discretion, may decide. Section 2. Meetings of the Board of Directors shall be held monthly, scheduled and communicated in advance, or at the call of the President. At all Board of Director meetings, five(5) present members shall constitute a quorum. Section 3. Any Board of Directors’ member who shall fail to attend three(3) consecutive meetings, may be suspended by act of the Board of Directors and so notified in writing by the Secretary. Within thirty(30) days after the day of suspension, said member shall show reasonable cause for failure to attend any one or more of said three meetings or his/her name shall be removed from the Board by motion of the Board of Directors. He/she shall be notified by the Secretary. The vacancy shall be filled by an appointment of the Board of Directors, to complete the term of said member. Any other vacancies in the Board of Directors through resignation or other cause shall be filled by appointment of the Board of Directors, to complete the term of said member. Section 4. Absence of any Board of Directors’ officer from two (2) consecutive meetings without a satisfactory explanation shall cause said officer to be automatically vacant. Section 5. In the event of the President’s office being vacant, the Vice President will automatically fill the vacancy. ARTICLE IV Dues Section 1. The annual family dues for the members of the Association shall be stipulated by the Board of Directors, payable at the first registration for that school year that a player participates. Section 2. No child may participate in a sports program unless the family dues, all registration fees, and related fees have been paid. Section 3. Members shall be allowed the right to vote only if family dues have been paid prior to the meeting. Each adult member of the family has the right of one vote. ARTICLE V Funds Section 1. All funds shall be kept in the name of St. Bartholomew Athletic Association. Section 2. All expenditures and receipts shall be approved by the Board of Directors. ARTICLE VI Committees Section 1. The Board of Directors has the authority to appoint standing and AD HOC Committees at its discretion. ARTICLE VII Amendments Section 1. These By-laws may be amended at any regular meeting or special meeting by two-thirds vote by those present, providing that a notice of such was given at a previous meeting. ARTICLE VIII Rules of Order Section 1. Roberts Rules of Order shall be the Association’s final authority on all questions of procedure and parliamentary law not covered by the Constitution and By-laws. ARTICLE IX Order of Business Section 1. Order of Business shall be as follows: a. The meeting will open with a prayer. b. The minutes of the previous meeting will be reviewed. c. Approval of the minutes of the previous meeting. d. Reports made by members of the Board of Directors. e. Reports of Committees. f. Unfinished business. e. New business. f. Close of meeting. The Order of Business may be modified by the Board of Directors, in its discretion.
